Terms of Service

Welcome to Bizhub.lk, operated by Bizhub Digital (Private) Limited, a company incorporated under the laws of Sri Lanka ("Company", "we", "us", or "our"). By accessing or using any part of the Bizhub.lk website, mobile application, or related services (collectively, the "Platform"), you enter into a legally binding agreement with us subject to these Terms of Service ("Terms").

We reserve the right to update these Terms at any time. We will notify registered users of material changes via email or a prominent notice on the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms.

To register for and use Bizhub.lk, you must meet the following eligibility requirements:

• ›Age: You must be at least 18 years of age, or the age of legal majority in your jurisdiction, whichever is higher.
• ›Legal capacity: You must have full legal capacity to enter into binding contracts under Sri Lankan law or the laws of your country of residence.
• ›Not previously banned: You must not have had a Bizhub.lk account previously suspended or terminated for violations of these Terms.
• ›Business entities: Businesses and organisations must be duly registered and in good standing under applicable law, and the individual creating the account must be authorised to act on their behalf.

You agree to provide accurate, current, and complete information during registration and to keep your profile information up to date. Bizhub.lk reserves the right to verify your identity and may request supporting documentation at any time. Accounts found to contain false or misleading information may be suspended or permanently terminated.

Bizhub.lk is a multi-category online marketplace that connects buyers and sellers across Sri Lanka and internationally. Our platform enables users to:

• ›List and sell physical products, digital goods, and business services across all industries.
• ›Browse, compare, and purchase from a verified network of Sri Lankan businesses and entrepreneurs.
• ›Buy and sell established businesses, business assets, or business opportunities.
• ›Access tools for inventory management, order tracking, messaging, and analytics.
• ›Participate in promoted listings, auctions, and featured placement programmes.

Bizhub.lk acts solely as an intermediary marketplace. We are not a party to transactions between buyers and sellers, and we do not transfer legal ownership of any items listed on the Platform. We do not guarantee the existence, quality, safety, legality, or genuineness of items listed, nor the ability of sellers to sell or buyers to pay.

We are committed to ensuring that buyers on Bizhub.lk can transact with confidence. The following protections apply to eligible purchases made through our secure checkout system:

To initiate a dispute or refund request, buyers must contact our support team within the specified window for the relevant product category. All dispute submissions require supporting evidence such as photographs, correspondence records, or delivery tracking information.

As a seller on Bizhub.lk, you take on legally binding obligations to both buyers and to the platform. By listing any product, service, or business, you represent and warrant that:

• ›Accuracy: All listing descriptions, photographs, specifications, and pricing are accurate, complete, and not misleading. Material defects must be clearly disclosed.
• ›Legal authority: You have the legal right to sell the listed item(s) and that the sale does not infringe upon any third-party rights, including intellectual property rights.
• ›Compliance: Your listings and business activities comply with all applicable Sri Lankan laws, regulations, and industry standards, including the Consumer Affairs Authority Act and Electronic Transactions Act.
• ›Fulfilment: You will fulfil confirmed orders within the timeframes stated in your listing or agreed with the buyer, and promptly notify buyers of any delays.
• ›Taxes: You are solely responsible for determining and remitting any applicable taxes on your sales, including VAT, income tax, or any other levies applicable under Sri Lankan law.

Bizhub.lk reserves the right to remove any listing at its sole discretion without prior notice if it determines that the listing violates these Terms, applicable law, or the rights of third parties. Repeated violations will result in account suspension or permanent termination.

Bizhub.lk operates on a commission-based model for sellers, with optional premium subscription plans that provide enhanced visibility and features. Our current fee schedule is published on our Pricing page and may be updated from time to time with 30 days' notice to affected users.

• ›Transaction Fee: A commission percentage is deducted from the final sale price upon successful completion of a transaction. The applicable rate depends on your seller tier and product category.
• ›Listing Fees: Standard listings are free for all registered sellers. Promoted listings, featured placements, and boosted visibility options are available as paid upgrades.
• ›Payment Processing: All transactions are processed in Sri Lankan Rupees (LKR) unless otherwise specified. Accepted payment methods include major debit and credit cards, bank transfers, and approved digital wallets.
• ›Seller Payouts: Earnings are transferred to your registered bank account within 3–5 business days after the buyer confirms receipt, or 14 days after delivery confirmation if no buyer action is taken.
• ›Refunds of Fees: Transaction fees are non-refundable once a sale has been completed, except where a refund is granted due to a verified seller error or platform fault.

To protect the integrity of our marketplace and the safety of all users, the following activities are strictly prohibited. Violations may result in immediate account termination, forfeiture of funds, and reporting to relevant law enforcement authorities.

This list is not exhaustive. Bizhub.lk reserves the right to determine, at its sole discretion, whether any activity constitutes a violation of these Terms. We encourage users to report suspected violations using our in-platform reporting tools or by emailing abuse@bizhub.lk.

All content, features, and functionality on the Bizhub.lk Platform — including but not limited to the Bizhub.lk name, logo, trade dress, website design, software, databases, and compiled data — are the exclusive property of Bizhub Digital (Private) Limited or its licensors and are protected by Sri Lankan and international copyright, trademark, and intellectual property laws.

Your content: By uploading or submitting content to the Platform (including product images, descriptions, reviews, and messages), you grant Bizhub.lk a worldwide, non-exclusive, royalty-free, sublicensable licence to use, reproduce, modify, adapt, publish, and display such content for the purposes of operating and promoting the Platform. You retain ownership of your content and may remove it by deleting your listings or account.

Your privacy is important to us. Our Privacy Policy describes in full how Bizhub.lk collects, uses, shares, and protects your personal information. By using the Platform, you consent to the data practices described in our Privacy Policy, which is incorporated into these Terms by reference.

• ›Data we collect: Account registration details, transaction records, device and usage data, communications, and any information you voluntarily provide in your profile or listings.
• ›How we use your data: To provide and improve the Platform, process transactions, prevent fraud, send service communications, personalise your experience, and comply with legal obligations.
• ›Data sharing: We do not sell your personal data. We may share data with payment processors, logistics partners, and regulatory authorities where required by law.
• ›Your rights: You have the right to access, correct, or delete your personal data. Submit requests to privacy@bizhub.lk.

Bizhub.lk employs industry-standard security measures including TLS encryption, two-factor authentication, and regular security audits to protect your data. However, no method of electronic transmission or storage is 100% secure, and we cannot guarantee absolute security.

We encourage buyers and sellers to resolve disputes directly through our in-platform messaging system before escalating to Bizhub.lk mediation. Our dispute resolution process operates as follows:

• ›Step 1 — Direct Resolution (Days 1–3): The buyer contacts the seller directly through the Platform messaging system. Both parties are encouraged to reach a mutually agreeable solution within 3 business days.
• ›Step 2 — Bizhub.lk Mediation (Days 4–10): If direct resolution fails, either party may open a formal dispute. Our support team will review submitted evidence and communicate with both parties. We aim to issue a decision within 5 business days of receiving all required documentation.
• ›Step 3 — Final Determination: Bizhub.lk's decision in mediation is final and binding with respect to any funds held in escrow. Either party may still pursue claims through Sri Lankan courts for matters not covered by our mediation process.

To the maximum extent permitted by applicable law, Bizhub Digital (Private) Limited, its directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, business interruption, or other intangible losses, arising from:

• ›Your access to, use of, or inability to access or use the Platform.
• ›Any conduct or content of any third party on the Platform, including other users.
• ›Any content obtained from the Platform, including product descriptions and seller representations.
• ›Unauthorised access, use, or alteration of your transmissions or content.
• ›Transactions or dealings with other users, including disputes, non-delivery, or quality issues.

Our total aggregate liability for all claims arising from or related to these Terms or your use of the Platform shall not exceed the greater of (a) the total fees paid by you to Bizhub.lk in the 12 months preceding the claim, or (b) LKR 50,000. Nothing in these Terms limits liability for fraud, gross negligence, or death or personal injury caused by our negligence.

These Terms of Service and any dispute arising from them shall be governed by and construed in accordance with the laws of the Democratic Socialist Republic of Sri Lanka, without regard to its conflict of law provisions.

Any legal action or proceeding relating to your access to, or use of, the Platform or these Terms shall be instituted exclusively in the courts of competent jurisdiction situated in Colombo, Sri Lanka. You consent to the personal jurisdiction of those courts and waive any objection to the laying of venue therein.

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
